Lumen Advisory – Property Buyer Agency Terms and Conditions

Welcome to Lumen Advisory. These Terms and Conditions (“Agreement”) govern the relationship between Lumen Advisory (“Lumen Advisory,” “we,” “us,” or “our”) and you, the prospective property buyer (“Client,” “you,” or “your”), concerning the provision of property buyer agency services in Ghana. By engaging Lumen Advisory’s services, you agree to be bound by these Terms and Conditions.

1. Introduction to Services

Lumen Advisory operates as a dedicated property buyer agency, exclusively advocating for the interests of the buyer in real estate transactions within Ghana. Our mission is to provide expert guidance, comprehensive market insights, and diligent representation to ensure our clients secure their ideal property under the most favourable terms.

2. Services Provided

Lumen Advisory agrees to provide the Client with the following services, acting solely as the Client’s representative:

  • Property Search & Identification: Conducting thorough searches based on the Client’s specific criteria, including location (Accra, Kumasi, and specified neighborhoods), property type (apartments, condos, houses, office spaces, villas), budget, and other preferences.

  • Market Analysis & Insights: Providing data-driven market analysis, property valuations, and neighborhood insights to inform the Client’s decision-making process.

  • Property Viewings & Inspections: Arranging and accompanying the Client on property viewings, facilitating due diligence, and assisting in identifying potential issues.

  • Negotiation Strategy & Execution: Developing and executing negotiation strategies to secure the best possible purchase price and terms for the Client.

  • Legal & Due Diligence Coordination: Assisting the Client in coordinating with legal professionals, surveyors, and other relevant parties to ensure all necessary due diligence is performed and legal processes are smoothly navigated.

  • Transaction Facilitation: Guiding the Client through the entire transaction process, from offer submission to closing, ensuring all steps are completed efficiently and in the Client’s best interest.

  • Post-Acquisition Support: Providing guidance on post-acquisition matters, as agreed upon.

3. Client Obligations

The Client agrees to:

  • Provide accurate and complete information regarding their property requirements, financial capacity, and personal details relevant to the transaction.

  • Communicate openly and promptly with Lumen Advisory, providing timely feedback and decisions.

  • Act in good faith and cooperate fully with Lumen Advisory throughout the engagement.

  • Refrain from directly contacting sellers or their agents regarding properties introduced by Lumen Advisory, unless explicitly agreed upon.

  • Notify Lumen Advisory immediately if they decide to cease their property search or engage another agent for the same property.

4. Fees and Payment

Lumen Advisory’s compensation for services rendered shall be as follows:

  • Retainer Fee (if applicable): A non-refundable retainer fee may be required upon signing this Agreement, as specified in a separate service agreement or proposal. This fee will be credited towards the final success fee.

  • Success Fee: A percentage of the final purchase price of the property acquired by the Client, or a fixed fee, as mutually agreed upon in a separate service agreement or proposal. This fee is payable upon the successful completion of the property acquisition (e.g., transfer of title, final payment).

  • Other Costs: The Client is responsible for all third-party costs associated with the property acquisition, including but not limited to legal fees, survey fees, valuation fees, stamp duties, and government charges.

5. Confidentiality

Lumen Advisory commits to maintaining the strict confidentiality of all sensitive Client information, including financial details, personal data, and property preferences, in accordance with applicable data protection laws in Ghana. Client information will only be shared with third parties directly involved in the transaction (e.g., lawyers, valuers) with the Client’s express consent.

6. Limitation of Liability

Lumen Advisory provides advisory and facilitative services. While we strive for accuracy and diligence, we are not responsible for:

  • The accuracy of information provided by third parties (e.g., sellers, other agents, public records).

  • Any defects or issues with the property itself, which are subject to the Client’s independent due diligence and professional inspections.

  • Changes in market conditions, legal frameworks, or government policies.

  • Any financial decisions made by the Client.

Lumen Advisory’s liability for any claim arising out of or in connection with this Agreement shall not exceed the total fees paid by the Client to Lumen Advisory under this Agreement.

7. Indemnification

The Client agrees to indemnify, defend, and hold harmless Lumen Advisory, its agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with the Client’s actions, omissions, or breach of this Agreement.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Ghana. Any dispute arising out of or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the parties agree to pursue mediation. If mediation fails, the dispute shall be submitted to binding arbitration in Accra, Ghana, in accordance with the rules of a mutually agreed-upon arbitration body.

9. Termination

This Agreement may be terminated by either party with [Number] days’ written notice. In the event of termination, the Client shall remain liable for any fees for services rendered up to the date of termination. Lumen Advisory reserves the right to terminate this Agreement immediately if the Client breaches any material term herein.

10. Amendments

Lumen Advisory reserves the right to amend these Terms and Conditions at any time. Any changes will be effective immediately upon posting the revised Agreement on the Lumen Advisory website. Your continued engagement with our services after such amendments constitutes your acceptance of the new Terms and Conditions.

11. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

12. Entire Agreement

This Agreement, together with any mutually agreed-upon service agreements or proposals, constitutes the entire agreement between the Client and Lumen Advisory, superseding all prior discussions, negotiations, and agreements.
